Welcome to Yemame POS

These Terms of Service ("Terms") govern your access to and use of Yemame POS, a point-of-sale system designed for businesses in Ghana. By accessing or using our Service, you agree to be bound by these Terms.

Please read these Terms carefully before using our Service. If you do not agree to these Terms, you may not access or use the Service.

1Acceptance of Terms

By creating an account, accessing, or using Yemame POS, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2Eligibility

You must be at least 18 years old and operating a legitimate business to use Yemame POS. By using the Service, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into these Terms
  • You operate or represent a legitimate business in Ghana
  • You will use the Service in compliance with all applicable laws and regulations
  • All information you provide is accurate and truthful

3Account Registration and Security

3.1 Onboarding Fee & Account Verification

To maintain platform authenticity and prevent fraud, all users must pay a one-time onboarding fee. This fee:

  • Verifies your identity and business legitimacy
  • Prevents fake accounts and fraudulent activities
  • Is separate from your monthly subscription fees
  • Is non-refundable once your account is activated
  • Must be paid before accessing core features (shops, products, sales)

3.2 Email Verification

  • You must use a valid, permanent email address
  • Temporary or disposable email addresses are prohibited
  • You must verify your email address within 3 days of registration
  • Unverified accounts may be disabled or deleted after 3 days
  • Email verification is required to maintain account security

3.3 Account Security

  • You are responsible for maintaining the security of your account
  • Choose a strong, unique password
  • Do not share your password or staff access PINs with unauthorized persons
  • Notify us immediately of any unauthorized access
  • You are responsible for all activities under your account and staff accounts

3.4 Account Termination

We reserve the right to suspend or terminate accounts that:

  • Violate these Terms
  • Use temporary or fake email addresses
  • Remain unverified for more than 3 days
  • Engage in fraudulent, abusive, or illegal activities
  • Fail to pay subscription fees when due
  • Are inactive for extended periods (6+ months)

4Subscription Plans and Features

Yemame POS offers three subscription tiers, each with specific features and limitations:

4.1 Free Plan

  • 1 shop location maximum
  • 25 products maximum
  • Unlimited sales transactions
  • Basic staff management
  • Standard sales reports
  • Email support
  • No credit card required

4.2 Pro Plan

  • Up to 5 shop locations
  • 500 products maximum
  • Unlimited sales transactions
  • Advanced staff management with permissions
  • Enhanced analytics and reporting
  • Category and inventory management
  • Priority email support
  • Custom receipt branding

4.3 Business Plan

  • Unlimited shop locations
  • Unlimited products
  • Unlimited sales transactions
  • Full staff management with granular permissions
  • Advanced analytics, reports, and insights
  • Multi-location inventory tracking
  • Priority support via email and chat
  • Custom branding and receipt templates
  • API access (coming soon)

4.4 Plan Restrictions

If you exceed your plan limits:

  • You will be notified and prompted to upgrade your plan
  • Creating additional shops or products may be restricted until you upgrade
  • Existing data will not be deleted
  • Sales transactions will continue uninterrupted regardless of plan limits

5Billing and Payment

5.1 Payment Processor

All subscription payments are processed securely through Paystack. We accept:

  • Mobile Money (MTN, Vodafone, AirtelTigo)
  • Credit and Debit Cards (Visa, Mastercard)
  • Bank transfers

By subscribing, you authorize Paystack to charge your selected payment method on a recurring basis according to your chosen billing cycle.

5.2 Billing Cycles

You can choose from three billing options:

  • Monthly: Charged every 30 days at the standard rate
  • Quarterly: Charged every 90 days with a discount (percentage set by admin)
  • Annual: Charged every 365 days with a larger discount (percentage set by admin)

All amounts are displayed in Ghana Cedis (₵). Discount percentages may change for new subscriptions but will remain fixed for existing subscriptions during their current billing cycle.

5.3 Automatic Renewal

  • Subscriptions automatically renew at the end of each billing cycle
  • You will be charged the then-current rate for your plan unless you cancel
  • You can cancel your subscription at any time from your account settings
  • Cancellations take effect at the end of the current billing period
  • No refunds for partial billing periods

5.4 Failed Payments

If a payment fails:

  • We will attempt to retry the charge up to 3 times
  • You will be notified via email of the failed payment
  • Your account may be downgraded or suspended if payment is not resolved within 7 days
  • You can update your payment method in your account settings
  • Access to premium features may be restricted until payment is successful

5.5 Price Changes

  • We reserve the right to change subscription prices at any time
  • Existing subscribers will be notified at least 30 days before price changes take effect
  • New prices apply at your next billing renewal after the notice period
  • You may cancel your subscription before the price change takes effect

5.6 Refund Policy

  • The onboarding verification fee is non-refundable once your account is activated
  • Subscription fees are non-refundable for partial billing periods
  • If you downgrade your plan, the change takes effect at the next billing cycle
  • Refunds may be considered on a case-by-case basis for service outages or technical issues

6Use of the Service

6.1 Permitted Use

You may use Yemame POS to:

  • Manage multiple shop locations and inventory
  • Create and organize product catalogs with categories
  • Process sales transactions and generate receipts
  • Track sales history and analytics
  • Manage staff members with access PINs and permissions
  • Monitor inventory levels and stock
  • Generate business reports and insights

6.2 Prohibited Use

You may NOT:

  • Use the Service for any illegal or fraudulent purpose
  • Attempt to bypass plan limits or restrictions
  • Scrape, copy, or reverse engineer any part of the Service
  • Use bots, scripts, or automated tools without permission
  • Upload malware, viruses, or malicious code
  • Impersonate others or provide false business information
  • Interfere with or disrupt the Service
  • Resell or redistribute the Service without permission
  • Use the Service to compete with Yemame POS
  • Create multiple accounts to evade the onboarding fee

7User Content and Data

7.1 Your Content

You retain all rights to the content you upload (shop details, product information, sales data, staff records, logos, etc.). You grant us a limited license to use, store, and process your content solely to provide the Service.

7.2 Content Responsibility

  • You are solely responsible for your content and data
  • You must have rights to all content you upload
  • You must comply with tax, accounting, and legal requirements
  • Content must not violate any laws or third-party rights
  • You are responsible for accurate pricing and product information

7.3 Data Backup

While we perform regular backups of our systems, you are responsible for maintaining your own backups of important data. We are not liable for data loss due to technical issues, user error, or service disruptions.

8Intellectual Property

8.1 Our Rights

Yemame POS, our logo, features, design, and Service are protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted to you are reserved by Yemame POS.

8.2 Your License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your legitimate business purposes only.

9Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE PAST 12 MONTHS
  • WE ARE NOT LIABLE FOR DATA LOSS, BUSINESS INTERRUPTION, LOST SALES, OR LOST PROFITS
  • WE ARE NOT RESPONSIBLE FOR ERRORS IN PRICING, SALES RECORDS, OR INVENTORY DATA

Some jurisdictions do not allow limitations on warranties or liability, so these limitations may not apply to you.

10Indemnification

You agree to indemnify, defend, and hold harmless Yemame POS and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your content, data, and business practices
  • Your use or misuse of the Service
  • Any disputes between you and your customers or staff

11Service Availability

  • We strive for 99.9% uptime but do not guarantee uninterrupted or error-free service
  • We may perform scheduled or emergency maintenance with or without prior notice
  • We reserve the right to modify, suspend, or discontinue any features at any time
  • We are not liable for service interruptions or downtime
  • You should maintain backup systems for critical business operations

12Termination

12.1 Termination by You

You may terminate your account at any time through your account settings or by contacting our support team. Upon termination:

  • Your access to the Service will cease immediately
  • Your subscription will end at the conclusion of your current billing period
  • You will have 30 days to export your data before it is permanently deleted
  • No refunds will be issued for unused subscription time

12.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms
  • You engage in fraudulent or illegal activities
  • Your payment fails repeatedly
  • You abuse the Service or our support team
  • We are required to do so by law or legal authorities

12.3 Effect of Termination

  • All licenses and rights granted to you will immediately terminate
  • You must immediately cease all use of the Service
  • Provisions regarding liability, indemnification, and dispute resolution survive termination
  • We may retain some data for legal, tax, or regulatory compliance

13Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last Updated" date at the top of this page
  • For material changes, we will notify you via email or through the Service
  • Changes take effect immediately upon posting unless otherwise stated
  • Your continued use of the Service after changes constitutes acceptance
  • If you do not agree to the new Terms, you must stop using the Service

14Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of Ghana. Any disputes will be resolved in the courts of Accra, Ghana.

14.2 Dispute Resolution

Before filing any legal claim, you agree to:

  • Contact our support team to attempt to resolve the issue
  • Provide a detailed description of the dispute
  • Allow us 30 days to investigate and respond to your claim
  • Attempt good faith negotiations before pursuing legal action

15General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Yemame POS
  • Severability: If any provision is found invalid, the remaining provisions remain in effect
  • No Waiver: Our failure to enforce any right does not waive that right
  • Assignment: You may not assign these Terms without our consent; we may assign them freely
  • Force Majeure: We are not liable for delays or failures due to circumstances beyond our control
